Executive Summary
In a deal worth about $34mm, gene therapy company GenVec is merging with cell therapy company Diacrin. Diacrin stockholders get 1.52 GenVec common shares (averaging $1.25 apiece pre-announcement) for each Diacrin common share held. Based on Diacrin's market average price, GenVec paid a 73% premium for the stock.
